    Terms of Service

    1. Acceptance of Terms

    By creating an account, downloading the VS Code Extension, or using ShipBoard ("Service"), you agree to be bound by these Terms. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity. If you do not agree to these Terms, do not use this Service.

    2. Services Provided

    ShipBoard provides a feedback management platform that integrates customer feedback directly into the development workflow via a Web Dashboard and a Visual Studio Code Extension ("Extension").

    Service Maturity: The Service is provided as an active software product. While we continuously update features, your use of the Service is governed by the current tier-based access model.

    3. User Account & Security

    • Authentication: You are responsible for maintaining the security of your login credentials (Google/GitHub OAuth) and any Personal Access Tokens (PATs) generated for the Extension.
    • Prohibited Conduct: You may not misuse the Service, including but not limited to: reverse engineering the Extension, attempting to bypass API rate limits, or using the Service to harass others.
    • Extension License: Use of the VS Code Extension is subject to the proprietary rights notice and license grant found in the LICENSE.txt file included with the Extension package.
    • Prohibited Content: You agree not to post any content that: (i) infringes any third party's intellectual property rights, including trade secrets, copyright, or trademarks; (ii) contains confidential or proprietary information you do not have the right to disclose; (iii) is unlawful, defamatory, or violates the privacy of others. ShipBoard reserves the right to remove any content that violates these terms without prior notice.

    4. Fees, Payment, and Price Modifications

    • Subscription Models: Access to certain features, including the VS Code Extension and private boards, requires a paid subscription. Payments are processed through third-party providers (e.g., Polar.sh, Flutterwave).
    • Pricing Authority: ShipBoard reserves the right to modify, change, or update subscription fees, pricing tiers, and the availability of "Free" or "Beta" plans at any time at its sole discretion. Notice of Changes: Any changes to pricing or billing structures will be reflected on our Pricing Page. For existing subscribers, we will provide notice of significant price changes via the email associated with your account at least 30 days before the change takes effect.
    • Taxes: You are responsible for any taxes associated with your purchase based on your jurisdiction. All fees are non-refundable unless otherwise required by law.

    5. Intellectual Property & Data Rights

    A. Our IP:

    ShipBoard retains exclusive ownership of the Service, including all platform code, the VS Code Extension, visual interfaces, trademarks, logos, and databases.

    B. User Content:

    You retain ownership of your User Content. By submitting or posting User Content, you grant ShipBoard a non-exclusive, royalty-free license to host, store, process, display, and modify such User Content solely as necessary to operate, maintain, and improve the Service. This license terminates when your User Content is deleted from the Service, except where retention is required by law or for legitimate business records.

    C. Feedback License:

    If you submit ideas, suggestions, feature requests, or other feedback regarding ShipBoard (“Feedback”), you grant ShipBoard a perpetual, worldwide, royalty-free license to use, modify, and incorporate such Feedback into the Service for any purpose related to the operation, improvement, or development of the Service.

    You acknowledge that Feedback is provided voluntarily and does not entitle you to compensation, attribution, or equity.

    6. Termination

    We may suspend or terminate your access to the Service for breach of these Terms or misuse of the Service. Where reasonably practicable, we will provide notice prior to termination. Immediate termination may occur where continued access would pose a security, legal, or operational risk.

    Upon termination, we will make reasonable efforts to allow you to export your User Content, unless doing so would pose a legal, security, or operational risk.

    7. Disclaimers & Warranties

    THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHIPBOARD DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

    8. Indemnification

    You agree to indemnify and hold harmless ShipBoard from and against any third-party claims, damages, losses, and expenses (including reasonable legal fees) arising out of:

    • Your User Content, including any claim that such content infringes or misappropriates third-party rights;
    • Your violation of applicable law;
    • Your breach of these Terms.

    9. Copyright & Content Takedown

    We respect the intellectual property rights of others. If you believe that content on ShipBoard violates your copyright or constitutes a trade secret misappropriation, please contact us immediately at Support. We will investigate and remove infringing content in accordance with applicable copyright laws and takedown procedures (including the DMCA where applicable).

    10. Limitation of Liability

    IN NO EVENT SHALL SHIPBOARD BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHIPBOARD’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO SHIPBOARD IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

    11. Governing Law

    These Terms shall be governed by and construed in accordance with the laws of Nigeria, without regard to its conflict of law provisions.
